10. FEES, SERVICE LEVELS AND LIABILITY ALLOCATIONS

10.1Service Level Credits and Exclusive Remedy:If Vendor fails to meet the 99.9% Uptime Commitment in any calendar month, Customer shall be entitled to a service credit equal to 5% of monthly fees. Service credits shall constitute Customer’s sole and exclusive remedy, and Vendor’s entire liability, for any downtime, service failure, or total data loss.

10.2Customer Data License and AI Training:Customer grants Vendor a perpetual, irrevocable, worldwide license to ingest, analyze, and utilize Customer Data and derived telemetry to train, optimize, and deploy Vendor’s artificial intelligence and machine learning models.

10.3Limitation of Liability & Mutual Cap:In no event shall Vendor’s total aggregate liability arising out of or related to this Agreement exceed the total amounts actually paid by Customer in the one (1) month preceding the incident giving rise to liability; provided that Customer’s indemnification obligations under Section 9 shall remain completely uncapped.

10.4Term, Auto-Renewal and Notice Windows:This Agreement shall commence on the Effective Date for an initial term of two (2) years and shall automatically renew for successive one (1) year terms unless either party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term.
